Merchant Terms & Agreement

1. Preamble

This Merchant Agreement ("Agreement") is entered into between Alcooly LLC ("Alcooly", "we", "us") and the merchant partner ("Merchant", "you") for the purpose of establishing terms for alcohol delivery services through the Alcooly platform.

2. Definitions

"Platform" refers to the Alcooly website, mobile applications, and all associated services.

"Services" refers to the alcohol delivery and logistics services provided by Alcooly.

"Order" refers to any customer purchase facilitated through the Platform.

3. Term and Termination

This Agreement shall commence upon acceptance and continue for an initial term of one (1) year, automatically renewing for successive one-year periods unless terminated by either party with thirty (30) days written notice.

4. Merchant Obligations

• Maintain valid liquor licenses and all required permits
• Provide accurate product information and pricing
• Fulfill orders within agreed timeframes
• Comply with all applicable alcohol sales regulations
• Maintain adequate inventory levels

5. Alcooly Obligations

• Provide platform access and technical support
• Verify customer age at delivery
• Process payments and remit funds per agreed schedule
• Maintain platform security and data protection

6. Fees

Commission rates and fee structures are outlined in Schedule A attached to this Agreement. Payment processing fees may apply to all transactions.
